Membership Terms and Conditions

These Terms and Conditions set out the legally binding terms which apply to the Light Membership. You will be required to confirm You agree to be bound by these Terms and Conditions before purchasing the Light Membership.

These Terms and Conditions contain important information about your purchase and the Light Membership, so please read them carefully. We recommend You print and keep a copy of these Terms and Conditions for future reference.

1. DEFINITIONS

1.1 “Agreement” means the agreement between You and The Light for the purchase and/or use of the Light Membership.

1.2         “Cancellation Period” means the fourteen (14) day period starting on the Start Date during which time You have the right to cancel the Light Membership provided You have not used the Light Membership to access a Cinema screening or obtain a discount on refreshments at the Premise.

1.3           “Cinema” means any cinema owned and operated by The Light in the Territory with a full list available on the Website.

1.4           “Fee” means the membership fee for the Light Membership package chosen by You payable either through the Upfront Payment Plan or Monthly Payment Plan. 

1.5           “Force Majeure Event” means a situation beyond our control the consequences of which We could not have been avoided. Such events may include, without limitation: war or threat of war, riot, civil strife, actual or threatened terrorist activity, industrial dispute, natural or nuclear disaster, adverse weather conditions, fire, disease or illness, epidemics, pandemics (including any COVID-19 events) or any such crisis which may impact human health and result in government-imposed restrictions.

1.6           “General Terms and Conditions” means The Light’s general terms and conditions which can be viewed at: /terms

1.7           “Legitimate Grounds” means where You are unable to use your Light Membership for a continuing period of two calendar months due to medical reasons or because your permanent residential address relocates to an address outside the Territory.

1.8           “Light Membership” means one of The Light membership schemes including, but not limited, to MyLight Premiere, MyLight Premiere +, MyLight VIP and/or Infinity schemes. 

1.9           “Minimum Period” means a defined period associated with the chosen Upfront Payment Plan (e.g., 6 or 12 months) or a 6 month period if You pay as part of the Monthly Payment Plan for your Light Membership.

1.10        “Monthly Payment Plan” means payment of the Fee by direct debit on a monthly basis and as set out in Clause 5.

1.11        “Premise” means any and all premises and locations operated by Us including the Cinema and any associated facilities.

1.12        “Start Date” means the date You purchase the Light Membership as your Light Membership starts straightaway. 

1.13        “Territory” means the United Kingdom.

1.14        “The Light”, “Us” or “We” means Searchlight Ventures Limited incorporated and registered in England and Wales with company number 15407778 and registered VAT number 207793294 whose registered office is at 6 Kingly Street, London, W1B 5PF.

1.15        “Upfront Payment Plan” means payment of the Fee in full as set out in Clause 5.

1.16        “User” means the person named on the digital Light Membership card.

1.17       “Website” means the website currently located at URL www.thelight.co.uk or www.lightcinemas.co.uk.

1.18        “Working Day” means Monday to Friday, excluding any public or bank holiday on which the banks in England are closed for business.

1.19        “You” means the User and/or the individual entering into the Agreement in connection with the Light Membership.

2.              TERMS OF USE

2.1           You accept to be bound by these Terms and Conditions upon purchasing the Light Membership and/or using your Light Membership card in addition to The Light’s General Terms and Conditions when visiting the Cinema and/or Premise.

2.2           All cinema screenings are subject to normal restrictions such as age certifications. You shall have no preferential rights of access for any screenings in the Cinema except for any special screenings organised by Us for You. 

2.3           You may only book one cinema ticket in advance in person at the Premise on the day of the cinema screening. 

2.4           You can use the Light Membership to book three advanced tickets for separate cinema screenings online via the Website. You may not book tickets by telephone. All online cinema ticket bookings are subject to the Terms and Conditions of the Light Membership online ticket booking service set out below at Clause 12. 

2.5           To purchase cinema tickets using the Light Membership, You must present your physical or digital Light Membership card on your electronic mobile device at the ticket scanning point in the Cinema. Failure to do so will require You to purchase a new cinema ticket at full price which will not be refunded.  

2.6           You may also be required to show your Light Membership card to any member of The Light staff before entering the cinema screen.

3.              APPLYING FOR LIGHT MEMBERSHIP

3.1           You may apply for one or more Light Membership for You or any other Users by completing the online application form available on the Website.

3.2           The Light Membership is a membership scheme for customers in Territory only. You must be resident in the Territory to join the Light Membership.

3.3           By applying for the Light Membership, You represent:

a)              You are legally capable of entering into the Agreement.

b)              You are at least 18 years old;

c)              You are a resident in the Territory; and

d)              all the information You provide Us in applying for Light Membership must be accurate and complete. You must provide proof of age and address if We reasonably request this.

3.4           You shall provide an up to date passport-style photograph for your Light Membership card, for the purpose of identification and crime prevention. The photograph needs to be a reasonable likeness of your face, so that We can use it to identify You.  If the photograph doesn’t meet the required standard, You may be turned away from the Cinema and/or from attending the cinema screening.

3.5           We will process your Light Membership application(s) and confirm whether or not your application(s) is/are accepted by email. Alternatively, We may decline all or part of your application at our discretion, in which case We will notify You as soon as reasonably practicable.

3.6           Should you select a Monthly Payment Plan, We may request certain information about You, including any information received from credit reference agency checks when deciding whether or not to accept your Light Membership application. We may pass your details to credit reference agencies for them to check against certain public and private databases. Credit reference agencies may keep a record to use in future security checks. This helps to protect You and Us against fraudulent transactions.

3.7           The formation of a valid Agreement between You and Us will only occur when We confirm the acceptance of your Light Membership application and issue confirmation details of the User’s digital Light Membership card. If You have completed the Light Membership application on the Website and your application(s) is/are accepted, We will inform You that your Light Membership application has been accepted and a digital Light Membership card will be available in your Light Membership account. You may also select a physical Membership card which will be provided for an additional cost payable once selected. Each Light Membership card can be presented on your/the User’s smartphone at a scanning or till point to obtain tickets and refreshments discounts at the Cinema.

4.              YOUR LIGHT MEMBERSHIP

4.1          Light Membership provides You with exclusive benefits, discounts and access to cinema screenings at participating Cinemas throughout the Territory. Full details of specific rights and entitlements of each Light Membership are available on the Website and may be updated from time to time. 

4.2           The Light Membership entitles You:

a)              access to the relevant Cinema at the Premise every day of the week (subject to the Premise being open); and

b)              one standard seat in the Cinema (subject to availability for any film screening open to the general public (excluding event cinema or IMAX screening and upgrade seating).

4.3           When You select your Light Membership, You commit to the Minimum Period. Your Light Membership will continue for at least the Minimum Period set out in your Light Membership confirmation email and in your account on our Website, unless We terminate it earlier as set out in these Terms and Conditions.

4.4           At the end of the Minimum Period, if You joined as part of the Monthly Payment Plan, your Light Membership will continue automatically until You or We terminate it in one of the ways set out in these Terms and Conditions. If you joined as part of the Upfront Payment Plan, or using a gift Light Membership voucher code, your Light Membership will terminate automatically at the end of the Minimum Period, and You will have to renew your Light Membership or join again to continue using the Light Membership.

4.5           The Light Membership you select will be valid from the Start Date, provided your digital Light Membership card displays a head and shoulders photograph which is a clear and true likeness of the User.  Inappropriate images may cause a delay in the processing of your application, for which We will not be responsible. Your digital Light Membership card will be available in your MyLight membership account accessible via the Website.

4.6           The Light Membership is personal and not transferable or for sharing and only the User will be entitled to use it at the relevant Cinema and/or Premise. Your Light Membership, including the Light Membership card must be kept safe and secure.

4.7           If You pay for your Light Membership online, You have a statutory right to change your mind and cancel the Agreement and your Light Membership within the Cancellation Period, without giving any reason. To cancel, You will need to contact the Membership Helpline by phone, in writing by email or post or to request a cancellation form to let Us know of your intention to cancel within the Cancellation Period.  You will receive a full refund of any Fee paid provided that your Light Membership has not been used to access any cinema screenings or to utilise any other benefits, discounts or offers. 

4.8          If You cancel your Light Membership within the Cancellation Period, You will not be able to purchase a new Light Membership for 12 months following the date of cancellation.

4.9          Any offers and discounts associated with the Light Membership and any facilities within the Premise (including, but not limited to the cinema, bowling, interactive darts, karaoke, pool, diner, private hire) are only available and able to be obtained by You on production of a valid digital or physical Light Membership card. All offers and promotions are strictly subject to availability and while stocks last.

4.10       We reserve the right to suspend or remove an offer or promotion at any time. We shall not be liable for any financial loss arising out of the refusal, cancellation or withdrawal of any offer or promotion or any failure or inability to take up an offer or promotion for any reason.

4.11  Charges apply for 3D glasses as they are not included as part of the Light Membership.

4.12 By selecting a Light Membership you agree to receive marketing email communications from The Light.

5.              PAYMENT

5.1           The Fee of each Light Membership is displayed on the Website, within the Cinema and/or Premise and available by contacting the Membership Helpline. 

5.2           The Fee includes VAT.

5.3           The Fee payable for the Light Membership on a Monthly Payment Plan must be paid monthly in advance for the Minimum Period.  The Fee payable for the Light Membership on an Upfront Payment Plan must be paid for the entire Minimum Period selected by You in advance.

5.4           We may run special offers or promotions in connection with Light Memberships. All offers and promotions are strictly subject to availability and while stocks last. We reserve the right to suspend or remove an offer or promotion at any time. We shall not be liable for any financial loss arising out of the refusal, cancellation or withdrawal of any offer or promotion or any failure or inability to take up an offer or promotion for any reason.

Monthly Payment Plan

5.5           When paying the Fee on a monthly basis for the Light Membership, You agree to pay the Fee for the Minimum Period.

5.6           When We accept your Light Membership application, You shall pay:

a)              the first month's instalment of the Fee by credit or debit card if the User is a UK resident; and

b)              each instalment of the Fee in advance either via direct debit from your nominated bank account or using your stored credit or debit card details (where allowed).  

5.7           You are responsible for ensuring all details are completed correctly and You amend your details as soon as they change.  Each Fee payment is usually debited on the same day each month, unless it is not a Working Day or the length of the month is shorter, in which case it will be the Working Day immediately prior to this date.

5.8           If You want to change the bank account to be debited in connection with payment of the Fee, You must either make the relevant changes through your MyLight account on the Website or contact the Membership Helpline to provide the new Direct Debit details and give Us at least 15 Working Days written notice to process this change.

5.9           When paying for a Monthly Payment Plan, unless You cancel your Light Membership at the end of the Minimum Period in accordance with the provisions of this Agreement, your Light Membership will automatically continue unless You have terminated it in accordance with these Terms and Conditions.

5.10        If You pay in accordance with the Monthly Payment Plan, You will have to pay all Fees payable for the Minimum Period unless You cancel under Clause 6 (Changes to Light Membership) and 8 (Your Cancellation Rights and Legitimate Grounds).

5.11        If, during the Minimum Period, We does not receive any monthly Fee payment or You seek to terminate the Agreement except as permitted in Clauses 6 or 8, We may immediately suspend or terminate this Agreement and deactivate your Light Membership. We will be entitled to recover damages from You, which may include reasonable expenses caused by the incident and the fees and expenses (including those of debt collectors) that We may reasonably and properly incur to recover the outstanding Fees which are due to Us under the Agreement for the remainder of the Minimum Period. 

Upfront Payment Plan

5.12        When paying the Fee on an upfront basis for the Light Membership, You agree to pay the Fee for the Minimum Period on the day You complete the Light Membership application by credit or debit card.

5.13        At the end of the Minimum Period, your Light Membership terminates and You will need to re-join the Light Membership. 

5.14        If this Agreement is terminated during the Minimum Period on Legitimate Grounds (as described in Clause 8), We will refund the amount of the Fee paid in advance on a pro-rata basis for any full months remaining at the date of termination.

5.15        If You pay in accordance with the Upfront Payment Plan, no refund of the Fee for the Minimum Period which is paid in advance will be made unless You cancel your Light Membership in accordance with Clause 6 (Changes to Light Membership) and 8 (Your Cancellation Rights and Legitimate Grounds).

Extending your Light Membership

5.16        If You extend your Light Membership after the Minimum Period, the Fee for both the Monthly Payment Plan and the Upfront Payment Plan will be those in force on the date the Minimum Period expires. For the avoidance of doubt, at the end of the Minimum Period, You may choose to extend your Light Membership by switching to a Monthly Payment Plan subject to the conditions set out in Clauses 3 and 4.

5.17        Any extension of the Minimum Period will be treated as part of the original Agreement entered into between You and Us and You will not have any further cancellation rights under Clause 8.

6.              CHANGES TO LIGHT MEMBERSHIP

6.1           We reserve the right to increase the Fee of the Light Membership at our discretion to reflect changes in standard ticket prices, inflation, business costs, additional taxes and costs that are not imposed by The Light. Such changes shall be notified to You at least one month before it comes into effect. Any increase in the Fee shall not take effect during any Minimum Period, except as described in Clause 6.2.

6.2           We will be entitled to amend the Fee if there is a change in the rate of VAT or any other tax, or any other tax is imposed, to reflect such changes, at any time including during the Minimum Period. This change will only affect You during the Minimum Period if You are on the Monthly Payment Plan. Any other changes to the Fee shall take effect as described in the remainder of this Clause 6.

6.3           If You renew or extended your Light Membership beyond the Minimum Period and the Fee increases, such increase will take effect after expiry of any notice given by The Light under Clause 6 as follows:

a)              if You pay the Fee under the Monthly Payment Plan, the direct debit amounts after expiry of the Minimum Period will be adjusted accordingly;

b)              if You pay the Fee under the Upfront Payment Plan, the increase will take effect at the end of the Minimum Period for which the Fee has been paid should You wish to renew your Light Membership.

Changes to these Terms and Conditions

6.4           We may make minor changes to these Terms and Conditions from time to time to correct errors or to clarify the terms.  Please always check the Website to see the most up to date version of these Terms and Conditions. 

6.5           We reserve the right to make other changes to the Terms and Conditions on giving You at least one month’s prior written notice. Any such notification of a change shall be made by contacting You by any reasonable method including by sending notices and other communications to the postal or email address provided on your Light Membership application (or where You have advised the Membership Helpline of a change of address We will use the latest details that You have provided to Us).  It is therefore important that You keep your contact details updated.  Where We do contact You by email, We will be deemed to have notified You as soon as the email is delivered for instance into your inbox or onto the relevant server, provided that We do not receive a “bounce back” notification from that email address.  Where We contact You by post, We will be deemed to have served notice on You two Working Days after the date of posting provided that the notice has not been returned to sender within 28 days of posting.

Changes to the Fee and/or Light Membership Benefits

6.6           You will have 30 days from the notice date of any change to the Fee in which to terminate the Agreement if You are on the Monthly Payment Plan and these changes either increase the monthly instalment payable or are otherwise to your disadvantage during the Minimum Period.

6.7           You will have 30 days from the notice date of any material change to the Light Membership benefits notified to You to terminate the Agreement if such changes are to your disadvantage during the Minimum Period.

6.8           If You terminate the Agreement under Clause 6.6 and You are on the Monthly Payment Plan, You may stop making payments from one month after the date of the Direct Debit which follows You telling Us you wish to terminate the Agreement. 

7.              QUESTIONS AND COMPLAINTS

7.1           If You have any questions or complaints in relation to the Light Membership or a notification of change in your circumstances should contact the Membership Helpline.

8.              TERMINATION BY YOU

8.1           You may terminate the Agreement and your Light Membership during the Minimum Period only on Legitimate Grounds. You must notify Us in writing of your request to terminate, stating the reason for termination and enclosing any supporting evidence. The application must be made in writing by post or email to The Light (FAO: Membership Helpline).

8.2           If We accept that You have Legitimate Grounds and You are on the Monthly Payment Plan, the Agreement will terminate one month after the date of the direct debit which follows receipt of the request to terminate referred to in Clause 8.1 by the Membership Helpline. If You are on the Upfront Payment Plan, We will refund You a pro-rata amount equal to the value of the remaining full months' Fee less one month’s Fee.

8.3           If We do not accept the request for termination, the Agreement shall continue in force. If You are on the Monthly Payment Plan, You must continue to pay the Fee for the remainder of the Minimum Period. If You are on the Upfront Payment Plan, You will not be entitled to any refund of the Fee.

8.4           In the event of termination on Legitimate Grounds, neither You nor the User may re-subscribe for a Light Membership until 6 months after the termination date of the Light Membership which was terminated under this Clause 8.

8.5           If You are on a Monthly Payment Plan, You may terminate the Agreement at any time after the Minimum Period by giving one full month’s notice. Notice must be given to the Membership Helpline in writing by email or post. Termination will take effect one month after the date of the Direct Debit which follows receipt of your notice to terminate. 

PLEASE NOTE: due to The Light’s current payment processes, if You are paying by Direct Debit, your Light Membership will be automatically deactivated if You cancel the Direct Debit. If You wish to cancel your Direct Debit, please do not do so until after the date on which your Light Membership expires or terminates. We will confirm this date in writing on receipt of your termination notice.

8.6           On termination, the Light Membership will be de-activated and, if payment is made by direct debit, the direct debits will be stopped and any refund of the Fee due will be paid.

9.              SUSPENSION AND TERMINATION BY US

9.1           We may suspend the Agreement and/or temporarily deactivate your Light Membership if:

a)              You miss any Fee payment. We will contact You by email or letter and if payment is made on request, We will normally reactivate your Light Membership within 48 hours of payment. You will not be entitled to book any cinema ticket using your Light Membership until your Light Membership has been reactivated and, for the avoidance of doubt, no refunds will be given for cinema tickets purchased by You between the date the Light Membership is deactivated until the date it is reactivated;

b)              We suspect any fraud in any matter connected to entering into or performing the Agreement including providing false information on the Light Membership application form; and/or

c)              You breach any of these Terms and Conditions and/or The Light’s General Terms and Conditions.

9.2           We may terminate the Agreement and your Light Membership immediately on any of the following grounds:

a)              if You commit fraud (or in The Light’s reasonable suspicion) in any matter connected to entering into or performing the Agreement including providing any false information on the Light Membership application form;

b)              in the event of fraudulent or misuse of the Light Membership;

c)              if You miss a Fee payment and fail to make that  Fee payment within 5 days of a request from Us to make it, or if You miss more than one Fee payment;

d)              material breach of the Agreement by You that has not been corrected by You within 48 hours of such breach; and/or

e)              if You engage in any behaviour or activity that in The Light’s opinion is disruptive to or damaging to any  business or operation, process or practice of the Light.

9.3           If We terminate the Agreement under this Clause 9, We may keep any Fee payments that have been received. Where You are on the Upfront Payment Plan, We may refund any Fee paid for any full months after the termination date but shall be entitled to retain a fair proportion of the Fee to reflect the loss to The Light caused by termination of the Agreement in such circumstances. This right does not limit any other rights We may have against You.

9.4           On termination of this Agreement, We will immediately and automatically deactivate your Light Membership.

9.5           We may stop providing a specific Light Membership package at any time. If We stop offering your Light Membership package then We may terminate your Light Membership. In these circumstances, We will give you 30 days written notice and We will refund any Fees You have paid in advance in respect of a period after the termination of your Light Membership.

10.           INFORMATION PROVIDED

10.1        You confirm the information You provide about You (including, but not limited to, name, age, address, contact information) (“Personal Information”) is accurate, up to date and complete and that You are authorised to provide such Personal Information. 

10.2        You acknowledge that We are entitled to handle any Personal Information that You have supplied to Us when using the Light Membership and/or Website in accordance with the Privacy Policy, which forms part of these Terms and Conditions.

10.3        It is your responsibility to ensure that such Personal Information is kept up to date, and We will not be responsible for errors or omissions in your Personal Information at any time. You may update your details at any time by contacting the Membership Helpline. 

10.4        We will use and share your Personal Information in the following ways: 

a)              to provide any services and products You request;

b)              to open, administer and run any Light Membership You have with Us;

c)              for customer profiling and market research; and/or 

d)              to provide You with any email communications relevant to your membership. 

10.5        You authorise Us to:

a)              transfer or disclose Personal Information to professional advisers and such other parties as is necessary for the administration of The Light’s business (including financial decisions), customer profile research or if required to disclose such information required by law; and/or 

b)              use any Personal Information to provide You with information about your Light Membership account, offers, products and/or services offered by The Light from time to time. 

11.           LIABILITY

11.1        The Light and/or its Premise may be closed on a permanent or temporary basis from time to time, including for refurbishment or due to a Force Majeure Event. Details of such closures can be found on the Website or by contacting the Membership Helpline.

11.2        We will not be liable or responsible for any failure to perform, or delay in performance, that is caused by a Force Majeure Event.

11.3        The liability of The Light is limited to the Fee paid by You to Us for the period relating to the material breach of the Agreement.

11.4        We will not in any event be liable for: 

a)              any loss of profit, revenue, business, contract, goodwill, or other financial or economic loss or damage; and/or 

b)              any indirect loss or damage which is not reasonably foreseeable as likely to occur in the ordinary course of events.

11.5        We do not exclude or restrict liability for fraud, for death or personal injury resulting from our negligence or that of its agents or for any other liability that We cannot restrict or exclude by law, and nothing in this Clause 11 shall operate to exclude, restrict or limit this liability.

12.           TERMS AND CONDITIONS FOR THE LIGHT MEMBERSHIP ONLINE TICKET BOOKING SERVICE

12.1        The following terms apply to cinema ticket bookings made through the Website using the Light Membership. Tickets booked online using the Light Membership may only be booked through Cinema at the Premises or the Website.

12.2        It is understood that only three advanced cinema tickets for separate cinema viewings per Light Membership may be booked online at any time and no further online bookings may be made using the same Light Membership until the screenings to which the existing bookings relate come to an end. This will be reduced to 2 where 2 or more cinema screenings have been missed and 1 where 3 or more cinema screenings have been missed in any rolling three month period.  Bookings for event cinema, IMAX and obtaining tickets in-cinema do not count towards the advance booking allocation.  You will not be permitted to have more than one booking for a particular film at any one time and no overlapping booking are permitted.  

12.3        Cinema tickets for other customers may be booked online on the Website for the same screening as part of the same transaction at standard prices for the relevant performance. You may also include ticket bookings for the same screening for other members of the Light Membership as part of your cinema booking, but please ensure that You have obtained their express permission in advance.

12.4        Payments for additional cinema tickets and any surcharges (where applicable) must be paid for online via the Website using a valid debit or credit card.

12.5        Where We have advised You that e-ticketing is available for a particular cinema booking, You may use the e-ticket (containing a QR code) attached to the email confirmation of booking (“e-ticket”) in the chosen Cinema as their cinema ticket. 

12.6        You may present your e-ticket on a mobile phone or on a print out together with your Light Membership card at the relevant Cinema auditorium entry point for scanning by a staff member for You to gain entry or, in the case of a group booking, You and your group. 

12.7        If an e-ticket is used to admit a group, all members of the group, including You, must be admitted into the cinema screening together. You must be able to provide proof of ticket purchase for You and all guests by showing the relevant e-tickets, along with your digital Light Membership card, if requested by The Light staff.

12.8        If any retail items have been ordered as part of the individual or group booking, You must collect these from the relevant concession stand within the Premise.

12.9        If You would prefer to use printed cinema tickets and, if applicable, printed retail vouchers, You may present your e-ticket at an automated ticket collection machine (where provided) or a concession stand together with your digital Light Membership card and requested printed tickets and, if applicable. You should ensure that You arrive by the advertised performance time, as We reserve the right to refuse admission to customers who arrive after the start of the cinema screening.

12.10     The tickets will only be issued on production of:

a)              the Light Membership card used to make the cinema booking;

b)              the relevant cinema booking reference; or

c)              where a payment has been made as part of the booking transaction, the debit/credit/charge card used to make the payment.

12.11     If You arrive after the start of the feature film You will only be permitted entry into the Cinema auditorium if consented to by the Premise’s duty manager, determined in his/her sole discretion, to seek to avoid and/or limit the disturbance caused to other guests. Refunds will not be issued by Us in these circumstances.

12.12     Any repeated failure to attend performances that have been booked may be treated as misuse of the Light Membership. Where booked cinema tickets are unable to be used, You should cancel them either via your Light Membership online account or by contacting the Membership Helpline.  Failure to comply with these Terms and Conditions or any misuse of the Light Membership when making an online booking will result in the number of advance bookings being reduced to two where two or more shows have been missed and to one where three or more shows have been missed in any rolling 3 month period.  

13.           GENERAL

13.1        Nothing in these Terms and Conditions affects your statutory rights as a customer or excludes or limits our liability for fraud or for death or personal injury resulting from our negligence or for any other liability which We cannot exclude or limit under law. Otherwise our liability to You shall be limited to the total amount of the Fee paid for the Light Membership on the occasion You purchased it and the liability was incurred.

13.2        In addition to our other rights, in the event that You breach any of these Terms and Conditions, We reserve the right to take such action as is necessary to remedy or prevent a reoccurrence of such breach including recovering any costs incurred, banning You and/or suspending Your access to/from the Premise and/or Cinema and/or taking legal action.

13.3        We do not accept any amendments by You to these Terms and Conditions.

13.4        You may not transfer any of your rights or obligations under the Agreement to another person without The Light’s prior written consent. We can transfer all or any part of its rights or obligations under the Agreement to another organisation but your rights under the Agreement will not be affected.

13.5        If We fail at any time to insist on strict performance of any of your obligations under the Agreement or if We fail to exercise any of our rights or remedies, this does not constitute a waiver of our rights or remedies and does not relieve You from compliance with your obligations. A waiver by Us of any default does not constitute a waiver of any subsequent default. No waiver by Us of any of these Terms and Conditions is effective unless it is expressly stated to be a waiver and is communicated to You in writing.

13.6        The Agreement entered into between is You and Us. No other person shall have any rights to enforce any of its terms.

13.7        If, at any time, We do not require You to comply with any part of the Agreement, this will not prevent Us from doing so in the future.

13.8        If any provision of these Terms and Conditions is found to be invalid for any reason, the invalidity of that provision will not affect the remaining provisions of these Terms and Conditions which will remain in full force and effect.

13.9        These Terms and Conditions shall be governed by and construed in accordance with English law and the courts of England shall have jurisdiction over any claim or matter arising under or in connection with these Terms and Conditions.
